Rolled, the director of Ayala Land, had purchased about 18.5% of her own position in the company's common stock in a public offering on December 17, 2008, which had then been traded on the New York Stock Exchange. On December 19, 2008, a change of control of the company at the shareholders' meeting resulted in the change of the voting rights on the outstanding shares. On September 9, 2008, the company entered into an agreement with the trustee of the Meredith S. Rolled, Inc., A Division of Meredith Corporation, to redeem up to 50% of the issued shares of common stock, thereby converting her purchase into 5,550 shares. Mrs. Meredith S. Rolled, along with her partners, Mr. and Mrs. Henry Melamine, and the Board, on behalf of the company in its corporate capacity, then engaged in the transaction. Mrs. Meredith S. Rolled was paid a salary of 1,000 per month, and was also eligible to receive one-third of the net profits of the company for the year. All she received as a seller was 1,500 Ayala shares that she traded, and a small equity position in the company. Accordingly, the SEC filed an administrative claim for an accounting of the transaction. Mrs. Meredith S. Rolled was not aware of the transaction until the company filed its financial statements on the New York Stock Exchange on September 9, 2008. In response, at an October 16, 2008, shareholder meeting, she resigned from her position as director. As director, Mrs. Meredith S. Rolled retained her right, if applicable, to convert the shares into shares upon her termination. We have received no indication whatsoever that Mrs. Rolled will not retain the convertible shares upon their conversion. Since that time, we are not aware of any indication of her being interested in the company. Accordingly, we have made an offer to Mrs. Meredith S. Rolled of approximately 12,000 Ayala shares at 9.20 per share. Mrs. Meredith S. Rolled's proposal was that the Ayala shares be converted, at that point, into approximately 3,950 Ayala shares, for a gain of approximately 7,600 on the transaction.
