The Parties acknowledge that there is no undertaking whatsoever that the Conditions will be enforced by any court or other governmental entity. This Agreement is the complete and exclusive agreement between the Parties with respect to the subject hereof, and supersedes all prior written communication, proposals and understandings regarding the subject of this Agreement and supersedes all such prior written communications, proposals and understandings. This Agreement is between the parties' successors, assigns and representatives, with all the rights of a landlord under or pursuant to this Agreement. If any of these rights are not specifically granted hereunder, they do not buy implication or otherwise in this Agreement survive termination of this Agreement. Each Party shall be entitled to enter into, and each shall be responsible for the accuracy of, a valid lease with the other Party, if necessary. The Parties understand that the other Party acknowledges, agrees and consents to this Agreement. The title to all the Property shall, to the extent provided at any time in writing by Property Manager, be wholly in the Parties. The Parties have each agreed to reimburse each other for reasonable and reimbursed services and to coauthor any insurance or other written documents required or performed to assure the accuracy and integrity of each Party's records of transactions. The Parties are each responsible to pay for any damages caused to the property by any act of any third party during the term of this Agreement. If one Party fails to timely provide any required insurance documents or the necessary insurance coverage pursuant to this Agreement, the other Party has the right to bring suit for the benefit of itself and any damages caused within the period of time provided for in this Agreement within one year after that Party's failure to so timely comply.
