The names of the persons who shall be proxies are: Mr. Israel Baron, who has been a member of Turn Location and Control until this day, and is hereby appointed proxy of the shareholders, Mr. Ira Milady, who has been a member of Turn Location and Control until the date of this proxy and who is hereby appointed proxy as a director (which, for any reasons, he may not have voted in the past), Mr. Jacob Wingless, who has been acting as an agent outside the Company, and who is hereby appointed proxy, Mr. David Russian, who has been acting as a director outside the Company, and who is hereby appointed proxy, Mr. Along Goldman, who has been acting as a director outside the Company, and who is hereby appointed proxy, and Ms. NOA Glad, who has been acting as a director outside the Company for the past four and a half years and who is hereby appointed proxy. Mr. Milady's proxy is also included in the list of proxies filed in connection with the Annual Meeting of the Shareholders. 3. The proxy card and an enclosed statement, on which an illustration is enclosed, shall be forwarded (by registered or registered mail or by equivalent means) by the Company to Mr. Baron on a date to be established by the Company. 5. At the Annual Shareholders Meeting, Mr. Baron shall vote on the proposals submitted by the Company in its proxy, and also (after consultation with the Company) for the business of the Meeting, to be considered when the members of the Board of Directors present have voted, by written notice or oral message to their proxies at the Annual Shareholders Meeting. 6. After the Annual Shareholders Meeting, Mr. Baron shall send or deliver a declaration in writing for the account of the Company (in which case the Company shall have the power to require the signature of proxy holders of any person who signed the Declaration during the Annual Shareholders Meeting).
