14 of the Australia-Chile Free Trade Agreement; (c) panel is an independent tribunal, composed entirely of independent arbitrators and including two panelists; (d) panel decision means the decision of the arbitral panel on a particular dispute or controversy, in accordance with the rules of procedure governing the arbitration; (e) complainant means any party to an arbitration; (f) governing rules means the rules of procedure for the arbitration, set out in Annex 1 to this Agreement; (g) decision means an order of the arbitral tribunal on a particular dispute or controversy and includes a preliminary statement of the reasoning therefor; (h) panel means a panel established pursuant to Article 21.15 of the Australia-Chile Free Trade Agreement; (i) party means a party to the arbitration and includes any other person affected by a panel decision; (j) rule of procedure means the rules of procedure governing the arbitration, set out in Annex 1 to this Agreement, and the rules of procedure for an arbitration established under Chapter 21 of the United Nations Convention on the International Sale of Goods; (k) rule of interpretation means the rules of interpretation for a party, set out in Annex 2 to this Agreement, that is a party to any arbitration; (l) formal notice means any notification by any party to the arbitration; and (m) binding arbitration means an arbitration in which a party files a written proposal with a panel to engage in an arbitration in accordance with all the following: (i) the rules of procedure for a panel established under Chapter 21 of the Agreement; (ii) the rules of procedure set out in Annex 1 to this Agreement; and (iii) the rules of interpretation for a party to an arbitration, as referred to in Rule 2; and (n) formal notice of the decision means the notification of the panel and the respondent by the arbitral tribunal when a panel has issued its decision in accordance with the binding arbitration rules, that is, when the panel has issued its decision pursuant to the Rules of Procedure for formal notice of the decision pursuant to Section 4.1. The decision to issue a formal notice shall be binding on the parties to the arbitration. 3. The Commission shall, where appropriate, consult with the Parties that are Parties to the Agreement and the Australian Government in relation to the administration of these Rules of Procedure. 4. A panel established under Chapter 21 of the Australia-Chile Free Trade Agreement may request, from both Parties, an advisory opinion on its composition. 5.
