2008-28 for the purpose of adopting the Memorandum of Understanding (YOU) between the Huntington Beach firefighters' Association (BFA) and the City of Huntington Beach; and WHEREAS, on March 23, 2008, the BFA submitted a Memorandum of Understanding to the City regarding BFA's proposed agreement to amend and restate its operating agreement with the City for fiscal years 2; now therefore be it RESOLVED by the Council of the City of Huntington Beach, that the City Council of the City of Huntington Beach approve the following Memorandum of Understanding (OSU) between the City of Huntington Beach and the Huntington Beach Firefighters' Association: BE IT FURTHER RESOLVED that the Council hereby grants to the BFA and the City, a limited, irrevocable, tax-free, transferable, non-exclusive, royalty-free, permanent and non-assignable license to use and license the name and marks of the Huntington Beach Firefighters' Association (the BFA) and the Huntington Beach moniker through November 30, 2016, for all uses, including but not limited to marketing, advertising and advertising materials; now and in the, hereafter named, license, the following exclusive rights at least through November 30, 2016: (A) “Huntington Beach” is a registered trademark of the BFA; (B) “Huntington Beach Firefighters' Association” is a registered trademark of the BFA; (C) “Huntington Beach” is a trade name of the BFA; (D) “Huntington Beach Firefighters” and “BFA” are used by the BFA as a slogan; and (E) the BFA, through its Chief, shall provide support to the City of the public safety personnel of the City of Huntington Beach and the City in the event of a fire regardless of how that support is funded. BE IT FURTHER RESOLVED that it shall be exclusive, in the absence of separate city ordinance (Chapter 6.60.010), and for no longer than two (2) years after October 1, 2008, and in the absence of separate city ordinance (Chapter 6.60.
