The undersigned has requested that the date of the merger/consolidation is___________, 25 ___________________, 1995. 2. The Secretary of State, when the articles of merger/consolidation are duly executed, shall mail to the undersigned, by registered or certified mail, return receipt requested, a certificate signed by him or her stating that the merger/consolidation was executed on all parts thereof and containing the names of all shareholders on record who are of full age. 3. Such certificate shall be delivered to the Oklahoma Limited Liability Company within ten (10) days after the certificate has been mailed to the undersigned. 4. Unless otherwise required by law, the undersigned shall hold title to the securities of the new limited liability company and all assets of the old Oklahoma Limited Liability Company which have been acquired by the merger/consolidation. The Oklahoma Limited Liability Company shall not be responsible for paying any taxes or assessments that may be required to be paid or collected by or in relation to such acquired assets. 5. The Oklahoma Limited Liability Company shall transfer to it as trustee, and all the rights of its shareholders to the property of the old Oklahoma Limited Liability Company to the new Oklahoma Limited Liability Company when the new Oklahoma Limited Liability Company is formed. Such transfer shall be effected in accordance with the laws of the State of Oklahoma. If upon consolidation and reorganization in a county where the Oklahoma Limited Liability Company does not have a certificate of incorporation as required by Title 18, Section 2054, this certificate of incorporation shall at the time of consolidation and reorganization have been filed with the filing commission of the county, then that office shall transmit a copy of the original certificate to the Oklahoma Limited Liability Company at the address set forth above. 7. Under the original articles of consolidation, the old Oklahoma Limited Liability Company was a limited liability company organized under the laws of the State of Oklahoma, and, as trustee and receiver against property of the old Oklahoma Limited Liability Company, the Oklahoma Limited Liability Company was and remains the property holder of said old Oklahoma Limited Liability Company. 8.
