The first step in signing on behalf of a company is making sure to clearly state that your signature is representative of the business. You will sign your name and indicate that the signature represents the business, not your personal capacity to sign.
A company may execute a document by having it signed by: * 2 directors of the company; or * a director and the company secretary; or * for a company with a sole director who is also the sole secretary that director. If the document is to have effect as a deed, it should be expressed to be a deed.
Provided a person has express or implied authority to sign on the company's behalf, they can make contracts on the company's behalf, regardless of whether they are a director or company secretary.
When signing contracts or legal documents, LLC owners or managers should include the legal name of the LLC, and their official title according to the charter. This information can be printed directly on the contract as part of the signature block, or the signer can write it in next to the signature.
An authorized representative is a person authorized by a prospective member of an LLC to form the company by executing and filing its articles of organization. This is a departure from existing law, which defines a member as a person with an economic interest in the LLC.
In most cases the directors will have authority to bind the company in contract, but it is not always so clear-cut. Contracts can be signed on behalf of a company by a person acting under the company's express, implied or apparent authority.
Instead of having a contract executed by the company, s43(1)(b) of the Companies Act 2006 provides that contracts can be signed on behalf of the company by a person acting under the company's authority.
Usually, an officer of the corporation and others authorized to sign contracts can legally sign documents on behalf of the corporation. For a contract to legally bind a corporation, the board of directors must provide authorization.
If one party is a partnership, the agreement should be signed by a general partner on behalf of the partnership. Limited partners should never sign agreements since they have no authority to bind the partnership. Only one partner needs to sign.
If the person signing doesn't have authority, the corporation won't be legally bound by the contract. The signature block for a corporation should state the name of the corporation and the name and title of the person signing on the corporation's behalf.
Sign as an authorized representative. Because LCS have no physical form, they must act through their authorized representatives, their members (owners) and managers, for all purposes. This holds true for signing documents. By default, all members have authority to act on behalf of the LLC.
State laws generally allow non-member managers the authority to enter contracts on behalf of LCS. When a non-member manager runs an LLC, members generally cede their authority to bind the LLC to lawful contracts.
Section 21 of Companies Act, 2013 Authentication of Documents, Proceedings and Contracts. (b) contracts made by or on behalf of a company, may be signed by any key managerial personnel or [an officer or employee of the company] [1] duly authorized by the Board in this behalf.
An authorized signatory is defined as a director of the issuer or another person who has been authorized to sign documents and has notified the trustee that they've been given the power to do so. A representative or officer is normally given the power to sign the organization to an agreement that's binding.
When you incorporate a business, the business becomes a separate legal entity. This means you can no longer sign contracts in your personal capacity. Instead, signing contracts on behalf of a company requires an authorized representative — someone that is authorized to legally bind the corporation in an agreement.
