It is an offence not to stamp the document. If the document is unstamped, it is not admissible in court when legal disputes arise.
Sublet or assignment A tenant can sublet or assign their rental premises to someone else with the landlord's written consent. The rental agreement would be between the subletter and tenant.
If the lease period is 4 years or less, computation of stamp duty is 0.4% of total rent for the period of the lease. If the lease period is more than 4 years or any indefinite term, computation of stamp duty is 0.4% of 4 times the AAR for the period of the lease.
An obvious consequence is that the landlord and the tenant will be liable to civil proceedings by the Collector of Stamp Duty of the Inland Revenue Department. Moreover, a tenancy document must be stamped before it can be lodged with the Land Registry for registration.
A tenant must have their landlord's written permission before subletting or assigning their tenancy. A landlord can't unreasonably refuse a sublet or assignment of a fixed-term tenancy agreement if there are six months or more remaining in the term.
If the underlease is not registered, it will not take effect as a “legal” lease but only as an “equitable” lease. This is less secure for the undertenant and will make future dealings with the lease more complicated for all concerned.
