Client Success Manager and Lawyer. Reading time: 5 minutes. A company seal is a stamp that corporations use to finalise contracts and execute company documents. It is the equivalent of a signature. A company seal is also referred to as a corporate seal or a common seal.
If you say that an agreement is signed and sealed, or signed, sealed and delivered, you mean that it is absolutely definite because everyone involved has signed all the legal documents.
“Signed, sealed and delivered” is an example of a seal recital. So are “in witness whereof, I hereunto put my hand and seal,” and the less archaic “this document is signed under seal.” A document signed with a seal recital but without the word “seal” after a signature is not sealed.
The word “SEAL” at the end of (or below) a signature line means 'signature'. For example, a mortgage note or Fannie Mae/Freddie Mac Texas Deed of Trust will have “(Seal)” at the end of the line for the borrower's signature. A person's signature is considered their seal.
At the moment, seals are utilized to authenticate documents like birth records, marriage records, and real property deeds. Furthermore, they are used for authenticating signatures which a Notary Public witnesses and also in the formalization of corporate documents.
Sealing of records refers to state laws that allow civil or criminal records to be stored away from public access. The nature of storing records varies widely by state with some states and the federal courts not recognizing the option at all; but in those that do, normally only a court can seal records.
