Essential software Being able to fill in pdf's is great! It saves so many steps and looks more professional. Before I would have to print a form, fill it in by hand, scan it back into the computer and then send it on. Now I can fill in necessary information, neatly typed and send it on. Once in awhile I have a hard time making it do what I want when I am trying to change a document.

Lock-Up (M&A Glossary) In an underwriting agreement, the lock-up provision prohibits the issuer from selling shares during a period of time after the closing of an initial public offering.
Lock-up periods are when investors cannot sell particular shares or securities. Lock-up periods are used to preserve liquidity and maintain market stability. Hedge fund managers use them to maintain portfolio stability and liquidity.
What Happens When IPO Lockup Periods Expire? When IPO lockups expire, insiders tend to sell a portion of their shares. Because of the increase in supply, the share price may drop. In anticipation of this event, many investors will sell their shares in the days leading up to the expiration date to get ahead of the drop.
Lockup agreements prohibit company insiders—including employees, their friends and family, and large shareholders—from selling their shares for a set period of time after an IPO.
The Usefulness of Lock-Up Periods IPO lock-up periods allow for the newly issued shares to stabilize without additional selling pressures from insiders. This cooling-off period allows for the market to price the shares ing to natural supply and demand.
These individuals may include venture capitalists, company directors, managers, executives, employees, and their family and friends. A lock-up period normally lasts 180 days, or six months, but may last anywhere from four months to a year.
A lock-up agreement is a contractual provision preventing insiders of a company from selling their shares for a specified period of time. They are commonly used as part of the initial public offering (IPO) process.
Some might go down a lot, or even collapse as a result of the IPO lockup period ending. Others might flourish and increase their prices. Most of the time, a stock is going to dip a few days in advance before the lockup expiration. However, they quickly recover and rise even higher than before.
