5 million homeowners on the grounds that the defendants had breached their fiduciary obligations under applicable law when, among other things, they failed to disclose that Ameriquest was at the time of sale or during subsequent negotiations for the sale of certain delinquent mortgages a third-party service or other lender for the servicing of one or more of those delinquent loans, thereby rendering a substantial part of their mortgages unserviceable to the mortgagee from whom they had been sold. (I'd., ¶¶ 3-17.) Winkle, 470 U.S. 525, 535, 105 S. Ct. 1549, 85 L. Ed. 2d 510 (1985). This is for two reasons. (1) Services and other lenders need not disclose any information that would render their loans unserviceable to a third party. (2) Services and other lenders can disclose information that would render a loan unserviceable to a third party that, in fact, they have already disclosed to the mortgagee.
