How long does it take the state to process a California Limited Liability Company amendment? Normal processing for amending articles takes the SOS at least eight weeks. Current processing times are available on the SOS website (see link below).
California state requires business owners who wish to change their LLC name to be notified within 30 days of the date of the change. This can be achieved by filing an amendment. The form LLC-2 or Certificate of Amendment can be downloaded online from the Secretary of State website.
To amend the Articles of Organization of a limited liability company (LLC), you must file an Amendment to the Articles of Organization (Form LLC-2) with the California Secretary of State. Operating Agreements are to be maintained by the LLC and are not filed with the California Secretary of State.
In most cases, the articles of organization are a simple document. If an LLC wishes to change its name, registered agent, management structure, or any other information contained in its articles of organization, members must: File a certificate of amendment describing the changes. Pay the state's required filing fee.
To change an LLC name, you must amend those articles. Each state has its own amendment form. You can contact your state's business filing agency or search change name of LLC on their website to find out which form you need to use in your state.
There will usually be a filing fee associated with this change, ranging from $20 to $150, depending on your state. After your new name has been approved, you should notify everyone of importance about the name change. This includes your bank, creditors, local business authorities, vendors, and customers.
