How do you appoint a director?

Does a written resolution need to be signed by all directors?
Written resolutions give the directors greater flexibility in making decisions, as the directors don't have to be present at a board meeting. Directors' decisions made by written resolution must be unanimous. All eligible directors must either sign copies of the written resolution, or otherwise agree to it in writing.
Can a board resolution be signed by one director?
As per Sec. 21 of Companies Act 2013, resolution can be signed by any Key Managerial Personnel (which includes a Managing Director) or an officer of the company duly authorized by the Board. Hence, there is nothing illegal, if the resolution is signed by Managing Director.

A Directors' Resolution is a written record of an action or decision made by a company's board of directors. The resolution can be created with or without a formal meeting of directors.
Can a public company pass a written resolution?
A public company cannot pass written resolutions. A written resolution is passed when the required majority of eligible members have signified their agreement to it.
When can a written resolution not be used?
Situations where written resolutions cannot be used Section 288 (2) of the CA 2006 states that a private company cannot use a written resolution to: remove a director before their term expires, or. remove an auditor before their term expires.
Can directors pass an ordinary resolution?
Shareholders can pass ordinary resolutions or special resolutions at general meetings, or they can pass written resolutions. All types of collective decisions of directors are simply referred to as 'resolutions'. These decisions can be made at board meetings or in writing.
