A convertible note is debt. It's a loan. The details differ, but usually when someone writes you a convertible note for $100,000, you're expected to pay it back, along with some interest, in 1-2 years. But of course, no one really wants that to happen. That's because of the convertible part of the note.
A person resident outside India (other than an individual who is citizen of Pakistan or Bangladesh or an entity which is registered/ incorporated in Pakistan or Bangladesh), is permitted to invest in Convertible Note issued by an Indian startup company up to 25 lakh rupees or more in a single tranche.
A convertible note is short-term debt that converts into equity. In the context of a seed financing, the debt typically automatically converts into shares of preferred stock upon the closing of a Series A round of financing.
The simplest approach is to strip the equity component from the convertible note and treat the value as a sum-of-the-parts. The equity is most commonly valued in straight Black-Scholes option pricing model, and this value is deducted from the convertible note's notional amount to imply the value of the straight-debt.
The Valuation Cap is the most important term of a convertible note or a SAFE. It entitles investors to equity priced at the lowest of the valuation cap or the pre-money valuation in the subsequent financing. The valuation cap sets the maximum price that your convertible security will convert into equity.
Specifically, a cap is a ceiling on the value of the startup (i.e., a maximum dollar amount) for purposes of determining the conversion price of the note which (like a discount) thereby permits investors to convert their loan, plus interest, at a lower price than the purchase price paid by the Series A investors.
If it has been personally guaranteed, then whoever provided the guarantee is personally responsible to pay it regardless of what happens with the company. The practical answer is that if the company fails, the note holders will get nothing. Holding a note can be good if the company has a small exit in the future.
A conversion discount (or discount) is a mechanism to reward the note holders for their investment risk by granting to them the right to convert the amount of the loan, plus interest, at a reduced price (in percentage terms) to the purchase price paid by the Series A investors.
A convertible note is a form of short-term debt that converts into equity, typically in conjunction with a future financing round; in effect, the investor would be loaning money to a startup and instead of a return to the form of principal plus interest, the investor would receive equity in the company.
Companies issue convertible bonds to lower the coupon rate on debt and to delay dilution. A bond's conversion ratio determines how many shares an investor will get for it. Companies can force conversion of the bonds if the stock price is higher than if the bond were to be redeemed.
Definition of a convertible loan As mentioned above, a convertible loan is a short-term debt that converts into equity. Usually it converts at the next investment round. Example: if you receive your seed investment in a form of convertible loan, it will convert to equity when you raise your Series A investment.
