Research the new name. Start by checking the U.S. Patent and Trademark Office. Notify your Secretary of State. Change licenses and permits. Notify the IRS. Apply for a new EIN. Update your business documents. Communicate with your customers.
The new owner will need a new Employer ID Number (EIN), which is given by the IRS. A new state EIN may also be needed. Business documents filed with your state will need to be changed. The old business (corporation, partnership, or LLC) must be dissolved, and a new business entity created with new owners.
Assemble a Team of Advisors. If you're considering ownership transfer, the first step is to hire the right team of advisors. Get a Business Valuation. Revisit Shareholder/Member Agreements. Determine the Structure of the Transfer. Notify Vendors, Suppliers, and Customers.
Change in ownership — If you buy an existing business, you may decide to change the business structure to meet your goals for the business. Financial reasons — You may restructure to meet financial goals and objectives, such as improving cash flow or profitability of the business.
If you decide to change an existing DBA, you need to follow a two-stage process. First, you must file the official name change through the appropriate government agency. Second, you need to notify your customers and update your bank accounts and documents.
When you register your business as a DBA, or doing business as, and want to change it to an LLC, or limited liability company, you go through the process of registering the LLC as you would any business. If nobody else is using the name, then you can register the DBA name as the name of the LLC.
Go to ASIC Connect and log in to your account. Link your business name to your account with your ASIC key if you haven't already. Select the Judgements & Notifications tab at the top of the ASIC Connect page. Select the business name you are transferring.
Register. File the Articles of Organization with the state in which you want to form your LLC or corporation. Dissolution. Obtain a new EIN. Change everything. Complete the transition.
