No. Company seals (aka corporate seals) are not legally required. However, some companies incorporated before 1988, may still require their use. Regardless of the law, many companies still choose to use a corporate seal to “stamp” their important legal documents.
State Seal Laws In states such as New York and California, you do not need corporate seals. For instance, California statutes give corporations the authority to use and adopt corporate seals, but having a seal has no effect on the validity of any documents or instruments.
After forming a limited liability company, you can obtain an embossing seal for your LLC that is used to create an impression on important documents, such as contracts and deeds. Although seals were once required to authenticate corporate documents, a seal is no longer legally required for any purpose.
The Companies Act 2014 states that the company seal can be used by the authority of its directors, or an individual appointed by the director or board of directors unless otherwise stated in the company's constitution.
The traditional layout of a corporate seal is small circle centered within a larger circle. However, modern seals can feature any combination of shapes, including squares, ovals, triangles, hexagons or octagons.
Most states have their own special seals that may be the traditional wax, rubber or paper. The seal should be affixed close to the signature of the highest ranked person affiliated with the company or organization that created the legal document.
Filing under seal is a procedure allowing sensitive or confidential information to be filed with a court without becoming a matter of public record. The person making the filing should also provide instructions to the court clerk that the document needs to be filed “under seal”.
