Corporate resolutions are formal declarations of major decisions made by a corporate entity. The resolutions are used to determine which corporate officers are legally able to sign contracts, make transfers or assignments, sell or lease real estate, and make other important decisions that bind the corporation.
A Board Resolution, or Corporate Resolution, is a way of documenting a decision made by a Corporation's Board of Directors or Shareholders on behalf of the Corporation. After the resolution is made during a meeting, a Corporate Resolution document is typically used to get the specifics of the resolution in writing.
Signatures of officers designated to sign corporate resolutions usually the board chairperson. Title the document with its purpose. For example, “Resolution to Accept Bank Depository." A phrase stating that the resolution has the consent and agreement of the board members.

As per Sec. 21 of Companies Act 2013, resolution can be signed by any Key Managerial Personnel (which includes a Managing Director) or an officer of the company duly authorized by the Board. Hence, there is nothing illegal, if the resolution is signed by Managing Director.
Written resolutions give the directors greater flexibility in making decisions, as the directors don't have to be present at a board meeting. Directors' decisions made by written resolution must be unanimous. All eligible directors must either sign copies of the written resolution, or otherwise agree to it in writing.
Signing authority often lies with the company's chief executive officer (CEO) or president. If an individual signs on behalf of a corporation, and they have not been given the authority to do so, the corporation will not be bound to the contract. Limited liability company (LLC).
In most cases the directors will have authority to bind the company in contract, but it is not always so clear-cut. Contracts can be signed on behalf of a company by a person acting under the company's express, implied or apparent authority.
The contract must be signed on behalf of the company either by: a director, company secretary or authorized signatory and that person's signature must then be witnessed by someone else; or. two directors, two authorized signatories, or a director and the company secretary.
Authorizing Resolution means a resolution adopted by the Board of Directors or by an Officer or committee of Officers pursuant to Board delegation authorizing a Series of Securities.
