Resolutions are passed both by the company's members and by its directors. In either case, resolutions may be passed at meetings or by written resolution. There are now just two types of resolution, ordinary resolutions (passed by a simple majority) and special resolutions (passed by a 75% majority).
Like a bill, a joint resolution requires the approval of both Chambers in identical form and the president's signature to become law. Res., and followed by a number, must be passed in the same form by both houses, but they do not require the signature of the president and do not have the force of law.
In the United States Congress, a joint resolution is a legislative measure that requires passage by the Senate and the House of Representatives and is presented to the President for his approval or disapproval. Regular annual appropriations are enacted through bills.
Bills, if passed by the House and Senate and signed by the President, become binding law and part of the United States Code. Resolutions are not laws. Rather, they are expressions of the sentiments of either the House or Senate.
A simple resolution, H. Res. Or S. Res., is a proposal that addresses matters entirely within the prerogative of one Chamber or the other. It requires neither the approval of the other Chamber nor the signature of the President, and it does not have the force of law.

The practice of submitting and voting on resolutions is a typical part of business in Congress, state legislatures, and other public assemblies. The rules also specify what number of votes the resolution must attract to be passed.
The resolution is often used to express the body's approval or disapproval of something which they cannot otherwise vote on, due to the matter being handled by another jurisdiction, or being protected by a constitution.
What is the difference between a bill and a resolution? A bill becomes law when it is passed by both houses, and signed by the President. A resolution is something short of a bill, but must be passed by both houses, and be signed by the President, to take legal effect.
