It is designed to protect a company from having unvested shares in the hands of individuals who may not contribute to the organization in the long-term.

The user interface takes some getting used to after using DocuSign for 8 years. However, the customer service is second to none and has made the transition as smooth as I could have hoped for! Top notch to say the least!

The program very intelligently interprets PDF images, creating fields in just the right spot for us to type our responses in, while avoiding the print-write-scan-save cycle.

If you need to complete forms, you need PDF filler My experience has been good, but I think that for people that don't need to complete a lot of forms per year, there should be a way to pay by form. I can complete any PDF form regardless where I got them from. This form can be saved, printed, and emailed. The user interface could be better and it could have more forms available.

I've used their software and it's extreemly good. But what I liked most about their company was their integrity. Twice our auto renewal popped and most companies would use this as a gotcha moment to take your money. Both times we didn't require the auto renewal they credited within 2hrs of an email. Amazing customer service and great company integrity. Would reccomend to anyone.

In traditional vesting, founders or employees receive their equity outright and gradually become fully vested over time. However, with reverse vesting, founders initially receive their equity. Still, the company can repurchase or "claw back" a portion of the shares if certain conditions are unmet.
Vesting gives an employee control over shares only after a specific time period has passed. In reverse vesting, the founder already has ownership of all shares; they simply can be forced to sell a certain percentage of them for nothing if the full vesting period has not been completed.
Vesting is a process in which a company's founders or team members are required, to in effect, earn their shares over a period of time, rather than receiving them up front. Reverse vesting is the opposite, the shares are issued up front but over a period of time remain subject to being forfeited (reverse vested).
Graduated vesting, in which benefits accelerate with time, is the opposite of cliff vesting.
Technically speaking, this is 'reverse' vesting – a founder has shares at the beginning, but if the founder leaves the company, decreasing proportion of the shares held by the founder (related to the time the founder has been with the company) have to be sold back to the company, usually at no profit.
Types of Vesting Schedules Milestone-Based Vesting. Milestone-based vesting refers to a vesting method where stock options and benefits are granted to employees based on the achievement and performance of certain milestones in a company. Time-Based Vesting. Hybrid Vesting.
By way of example, a reverse vesting agreement might provide that a third of the shares subject to reverse vesting will vest at the end of the first year after closing and that the remainder will vest in equal installments at the end of each three months of the following two years.
