A share buyback is when companies buy back their own shares from the market, cancel them and, ultimately, reduce share capital. With fewer shares in circulation, each shareholder gets both a larger stake in the company and a higher return on future dividends.
Section 67 of Companies Act, 2013 (“the Act”) puts a prohibition on company to purchase its own shares. Section 68 of the Act specifically allows companies, both and private and public, to purchase their own shares subject to certain conditions, one of which is mandatory extinguishment of bought back shares.
These rules introduce the shift of the tax burden from companies to shareholders, treating buyback proceeds as deemed dividends, which will be taxed at the shareholders' income tax slab rates rather than the company paying the 23.92% (20% + 12% + 4%) buyback tax under Section 115QA," said Mohammed Chokhawala, Tax
