NAME OF THE PROPOSAL OF THE VS PARTY The Name of the Party will be “VVS”, as designated by resolution authorities, in consideration of the designation of the Vs in accordance with the Bail-In Directive, Directive 2016/77/EU and other relevant legislation. 2. STATUS OF THE PARTY IN REPRESENTATION OF THE BOARD OF DIRECTORS AND THE COMMITTEE OF PROFITS AND INVESTMENTS OF THE PARTY The VS as represented by the Board of Directors and the Committee of Profits and Investments of the VS is an Asset Management company. The assets of the VS (the VS Shares) are being transferred to the Participant. 3. REPRESENTED BY: 2.1 The Board of Directors of the VS. 2.2 The Participating Company for the purposes of this Agreement. 3. PROPOSAL OF THE VS PARTY BANK OF LITHUANIA Represented by, the Managing Director and Director of the Bank of Latvia. 4. STATUS OF THE PROPOSAL OF THE VS PARTY A BANK OF LITHUANIA The Bank of Latvia is a commercial bank with a public purpose, providing, together with the National Bank, banking services for the benefit of the people of Lithuania in accordance with the law of Lithuania which regulates such banks. 5. RULES AND REGULATIONS OF THE VS PARTY The Rules of the VS will govern the VS Shares, the rules governing this Agreement, the participation of the VS in these Plans. The Board of Governors of the VS approved the Plan on the basis of the Rules of the VS. 6. CONTRACT OF SALE The Contract of Sale has been concluded with the BANK OF LITHUANIA on the basis of the Conditions of Sale (as set out in the Contract of Sale). 7. DEFINITIONS 7.1. The following definitions apply within this Agreement : (a) Asset means any movable or immovable property including equestrian property, personal property and assets of institutions and associations registered at the Registry of the National Bank of Lithuania.
