The Shares may be subject to management policies and procedures which the Fund may impose on the bank or intermediary. These policies may include, without limitation, limitations on sales to retail investors and on number and value of Shares, exchange or conversion rates, redemption conditions, payment terms, fees and expenses. The Fund may from time to time permit, and plan to permit in the future, the sale of shares to non-U.S. investors through its broker-dealer for cash proceeds subject to applicable taxes and other regulations, subject to any applicable minimum price or other restrictions. There can be no assurance that any particular bank or intermediary which purchases a subscription to the Fund will continue to provide these services or accept the Fund's Order Form, and such sale to non-U.S. investors could materially affect the Fund's investment results. 3. INVESTMENTS IN THE PROSPECTUS IN PRIVATE INSTITUTIONS Funds that issue shares in their prospectus have certain policies in place for such investments. In addition to, or in lieu of, these provisions, the shares of the proposed Fund that are held by one or more private institutions and not offered to the public are sold to those institutions at negotiated prices. Any such Fund shares will be sold in a single transaction involving a single purchaser. These funds usually operate under institutional names, such as the Oppenheimer Funds, as opposed to the names of individual institutions. As a result, these funds' institutional investors may have different standards.
