Each 1,000 principal amounts of the Debenture constitutes an offer to purchase one share of Common Stock of Freddie Mac at 35.50 per share, which represents a discount of 2.4% per annum over the then outstanding principal amount of the Debentures, and constitutes an offer to purchase 2,764,500 shares of Common Stock at an aggregate gross offering price of 2,720,000 (the Offering Price). If the aggregate offering price is not attained, the Debentures will terminate after 14 days and in such event will not be considered to be issued by Freddie Mac. Certain conditions to the validity of the Offering Circular and the validity of the issuance of the Debentures are set forth in the Offering Circular. See “Business” and “Principal — Offering Information” of the Offering Circular.
The Debentures will not be eligible for conversion prior to maturity.
The aggregate principal amount of all the Debentures outstanding as of September 15, 1995, is 150,000,000.
Pending the effectiveness of a qualifying recapitalization plan, as permitted under Section 3(a) of the Bank Holding Company Act (the “BHC Act”), as in effect on December 31, 1994, of the Federal Home Loan Mortgage Corporation in connection with the reorganization of that Federal home loan mortgage corporation, the maturity of the Debentures will be extended to May 26, 2005, and will be payable in three equal installments. The maturity date on any of the Debentures shall be set at 90 days after the written notice of redemption by the holders of not less than 25% of the then outstanding aggregate principal amount of all the Debentures, if any. On and after May 26, 2005, in the event the aggregate principal amount of all the Debentures outstanding as of May 26, 2005, is 150,000,000 at the time of redemption, the maturity date on the Debentures will be extended to May 26, 2010, and the obligations of the holders of said Debentures will terminate 90 days after the written notice of redemption by holders of at least 25% of the then outstanding aggregate principal amount of the then outstanding Debentures, if any.
