As permitted in Section 222(b) applications, Verizon has filed a joint Application with the FCC under Subpart F. Verizon expects that its application for authorization to combine in the form of a single corporation will be approved, or it will be promptly filed, whichever occurs first. The conditions of approval of the joint Application and issuance of the conditional waiver will be published in the Federal Register and published in the newspapers of record and by the Federal Trade Commission and posted on that Commission's website. The Commission does not intend to enter into an order granting your request so long as the conditions are in effect. You are requested to consult with counsel of record to determine any potential costs and/or benefits of your proposed merger for the parties and any interested consumers of the proposed transaction. The conditions of this application can be amended or waived if the parties and/or any interested persons demonstrate that either the conditions of the application have been satisfied or a waiver is appropriate. Once the conditions of approval of the joint Application and issuance of the conditional waiver have been entered, Verizon expects Verizon New England Inc. d/b/a Verizon Massachusetts to request the FCC to extend the deadline on the conditional waiver applications and on the application for authorization to combine. Please be advised that there is no commitment or order that Verizon New England will be allowed to make any of its proposed transactions.
