Summary of Significant Events Since the Effective Time The following summary highlights certain events that have occurred since the date of this Proxy Statement: • On December 2, 2003, Mr. Blanchard became a member of the board and principal stockholder of the Company. • On December 6, 2003, a new class of common stock was offered to the Company's stockholders in this offering pursuant to an underwritten public offering memorandum executed by us and Busch & Bomb, Inc. • On December 7, 2003, Mr. Blanchard, who is a stockholder of our Parent and is now the Chief Executive Officer of our Company, announced that he was resigning his position as a director of the Company and the former directors that held the same roles on April 13, 2003, were not being re-elected for an additional term and would not be re-elected in the future. • On July 4, 2006, Mr. Blanchard was replaced as director by Stephen T. Smith, and Mr. Smith was appointed director on July 22, 2006. • On August 16, 2008, Ms. Smith was replaced as director by Jeffrey S. D'Angelo, and Mr. D'Angelo was appointed director on September 28, 2008. • On September 27, 2009, Mr. D'Angelo resigned as director of our Company and as the former chairman and chief executive officer of our Parent. Following this succession, Mr. Blanchard was elected as the new director of our Company on November 25, 2009, and remains so to this day. • On October 19, 2010, we entered into a subscription agreement with the New York Stock Exchange for our common stock. • On November 16, 2010, we completed the separation of our interest in Motorola, Inc. from our other financial interests. In January 2011, we acquired Motorola's remaining equity interests in the Motorola business and assumed 25.0 million of liabilities. This transaction, which we had entered into with an affiliate of Motorola in early 2012, was completed during the fourth quarter of 2011. • On November 8, 2010, the Board of Directors adopted a resolution approving certain compensation arrangements for directors of the Company.
