For most types of projects you hire an independent contractor (IC) to do, the law does not require you to put anything in writing. You can meet with the IC, agree on the terms of your arrangement, and have an oral contract or agreement that is legally binding. Just because you can don't mean you should, however.
An Independent Contractor Agreement is a written contract between two parties for a specific service or project. One person or company is hiring another to help on a short term task. Unlike an employment agreement, this document clearly spells out why the party being hired is not an employee for legal and tax purposes.
The independent contractor is responsible for filing and paying taxes on income earned from a client. The independent contractor must obtain all Form 1099s from income earned during the year and file with the Internal Revenue Service and the state revenue office, if the state collects state income tax.
Many organizations provide company email to independent contractors to ease communications. When you can only direct or control the result of someone's work and not what will be done and how it will be done, then the worker is typically defined as an independent contractor. These are self-employed workers.
Allowing independent contractors or consultants to manage company employees is not a recommended practice. In addition, managers may be responsible for managing company functions that, according to guidance from the DOL, “are an integral part of the employer's business,” including supervision of the company's employees.
Whether a worker qualifies as an independent contractor is a complicated issue. There is no single, uniform test, let alone a single factor, that can be used to determine who qualifies. Indeed, the IRS and the DOL both have their own separate tests which do include common themes, but which also differ significantly.
Companies who are concerned about high quality performance from their independent contractors often ask: “Can I give an independent contractor a training manual?” The answer is "No." This is a very dangerous high risk practice. It will be positive proof that you are, in fact, training the independent contractor.
An employee can be fired by an employer. An independent contractor cannot be fired so long as he or she produces a result that meets the specifications of the contract. Training. However, independent contractors ordinarily use their own methods and receive no training from the employer.

First, keep in mind that the “general rule" is that business owners must issue a Form 1099-MISC to each person to whom you have paid at least $600 in rents, services (including parts and materials), prizes and awards or other income payments. You don't need to issue 1099s for payment made for personal purposes.
