The General Corporation Law does not apply to nonpublic limited liability companies, as defined in Section 12-7-102, when the limited liability company is the administrator, successor trustee, or assignee of a qualified 501(c)(3) organization which has been dissolved. 12-8-102.1. Nonprofit corporation defined. As used in this section, unless the context provides otherwise, the words and terms defined in Section 12-8-102 shall have the same meanings as in Section 12-8-101. (1) “Nonprofit corporation” means an organization that qualifies as an exempt organization under Section 501(c)(3) of the Internal Revenue Code and that has more than ten thousand members under Title 26 of the United States Code, and (2) “nonprofit organization” means an organization that qualifies as an exempt organization under Section 501(c)(3) of the Internal Revenue Code and that has less than ten thousand members under Title 26 of the United States Code. Has a valid certification or charter from the IRS, a court, or an administrative agency, 3. Holds membership fees equal to no more than five percent of gross contributions received, 4. Holds membership dues for at least one-half of the ordinary and necessary expenses of carrying on its exempt purposes, 5. Is primarily engaged in exempt activities, and 6.
