The Commission also determined, pursuant to Rule 12(b)(5), that the court should order disgorgement of ill-gotten gains and forfeiture of ill-gotten gains. GSP has agreed to disgorge 60,000 within sixty calendar days of receipt of this order, together with profits, and to forfeit 200,000 in asset-backed securities. All funds will be distributed to those of GSP who are participating participants in the securities lending program that the Commission has been negotiating, and to GSP's shareholders (the “participant investors”). Consent agreements are often made after a full and fair investigation.
