Item 1.01 Acquisition of Shares of Common Stock on June 7, 2017, By and Through the Operating Partnership In April 2016, Kochab announced that we had entered into an Agreement and Plan of Merger with the Operating Partnership, pursuant to which a wholly owned subsidiary of the Operating Partnership (the Operating Partnership Sub) assumed sole operational control over the Company. We refer to this acquisition of stock in the Operating Partnership as the Merger. The Merger was approved by our shareholders and by two of the three stockholders of the Company. The Operating Partnership Sub executed an Amendment to its Merger Agreement on June 6, 2016, and, under the terms of the amendment, the Operating Partnership Sub acquired an additional share of Company common stock in exchange for the issuance of shares to the Operating Partnership. As of June 7, 2017, the Company held approximately 6,000,000 and 7,000,000 shares of Common Stock, respectively. Our shares of common stock are listed on the New York Stock Exchange under the symbol COKE. The Operating Partnership is also listed on the New York Stock Exchange under the symbol BE. On June 6, 2016, KAY K. ABIS, as President and Chief Executive Officer and DAN ABIS, as General Counsel and Secretary of the Operating Partnership (“D. A. B”), entered into definitive agreements with D. B. (as a member of D. B.'s immediate family) and P. B. (as an individual acting on behalf of D. B. and/or D. A. B.) (the “Affiliates”) that provide for, among other things, the Affiliates to purchase 2,000,000 shares of Company common stock in cash, with the remainder to be offered to the other two stockholders of the Company.
