Assets/Interests to Be Sold. The buyer's draft of the purchase agreement should accurately describe what is actually being purchased by the buyer (the specific assets in an asset deal or the stock or other ownership interests in a stock deal) and those assets or liabilities being retained by the seller, if any.
An asset purchase involves the acquirer buying some or all of the assets of the target company, with the proceeds paid to the target company itself.
An asset sale is completed only when the assets (as opposed to the common shares) of a company are acquired by a buyer. This means the seller that sold the assets retains ownership of the company, and must pay all the existing liabilities and debts before taking the net cash proceeds.
Asset Purchase. In doing an asset sale, the seller remains as the legal owner of the entity, while the buyer purchases individual assets of the company, such as equipment, licenses, goodwill. Normalized net working capital is typically included in an asset purchase agreement.
Asset acquisitions are accounted for by allocating the cost of the acquisition to the individual assets acquired and liabilities assumed on a relative fair value basis. Goodwill is not recognized in an asset acquisition. ASC 805-50 provides only limited guidance on accounting for asset acquisitions.
Fixed assets are acquired for the purpose of producing or supplying goods or services, for leasing to third parties, or for use in the company. The term fixed indicates that these assets will not be used up or sold in the accounting year.
Acquisition of Stock An acquisition by one company of another in which the acquiring company buys the target company's stock. That is, rather than paying with debt or some other means, an acquisition of stock occurs when the acquiring company buys a majority of the target company's shares outstanding.
To calculate goodwill, the fair value of the assets and liabilities of the acquired business is added to the fair value of business' assets and liabilities. The excess of price over the fair value of net identifiable assets is called goodwill. Goodwill Calculation Example: Company X acquires company Y for $2 million.
Existing Goodwill and Deferred Tax Items Any goodwill or deferred tax items existing on the target's balance sheet at the time of acquisition are written off in the purchase price allocation (PPA) since their fair values (Vs) are zero.
To record the stock purchase, the accountant debits Investment In Company and credits Cash. At the end of each period, the accountant evaluates the value of the investment. If the value declined, the accountant records an entry debiting Impairment of Investment in Company and credits Investment in Company.
(To record the purchase price) — debit Purchase of Business Account, and credit Vendor's Account. (To record each asset taken over at adjusted value) — debit each Asset Account including Goodwill, and credit Purchase of Business Account.
