When signing contracts or legal documents, LLC owners or managers should include the legal name of the LLC, and their official title according to the charter. This information can be printed directly on the contract as part of the signature block, or the signer can write it in next to the signature.
1. Sign as an authorized representative. Because LCS have no physical form, they must act through their authorized representatives, their members (owners) and managers, for all purposes. This holds true for signing documents.
The CCA relies upon Section 6062, which provides that corporate returns must be signed by the “president, vice-president, treasurer, assistant treasurer, chief accounting officer or any other officer duly authorized.” This is repeated in the Form 1120 instructions under “Who Must Sign," where it says "the president,
To amend the Articles of Organization of a limited liability company (LLC), you must file an Amendment to the Articles of Organization (Form LLC-2) with the California Secretary of State. Form LLC-2 only can be filed to list a new limited liability company name.
If the member who is leaving the LLC was listed as the Responsible Party, the IRS will need to be informed of the change; thus the LLC should typically file IRS Form 8822-B. The IRS mandates the 8822-B Form to be filed within 60 days of the change in ownership.

A shareholder's percentage in an S corp. is the number of shares they own divided by the total number of shares issued by the company. Thus, in order to change the shareholder's percentage, either the number of shares the shareholder owns or the total number of shares issued by the company needs adjusting.
To transfer ownership of the entire LLC, there are a few things you need to do: Assign your interest in the Limited Liability Company to the buyer. Some will have a form to file upon the date of the change of ownership, while other states update the names of the members on the annual report.
Determine the procedure for withdrawing members. Use the voting procedure if one is included in the terms of the LLC. Arrange for the member to submit written resignation. Consider offering a buyout the member doesn't willingly resign. Petition the court to dissolve the business if the member refuses to resign.
When the previous owner applied for the LLC's Employer Identification Number (EIN / federal tax number) that person would have been the LLC's Responsible Person. With the change of ownership, you have now become the Responsible Person, and are obligated to notify the IRS on Form 8822-B within 60 days of the change.
The Signature block is located at the end of the agreement proper and provides for the parties' signatures.
Although it can depend on your situation, generally a signature does not need to be in cursive to be legal. To execute a contract, one must simply meet the signing requirements of that contract. For instance, to create a valid Power of Attorney, the document must be signed and witnessed by a notary public.
The letters L.S. appear at the end of a signature line. This is an abbreviation for the Latin phrase logos sigilli which means place of the seal. It does not mean for the notary to place their seal in that location.
Above the “By" line and below the Party Name, the signatory's signature is written. On the “By" line, the name of the person who is signing is inserted. On the “Its" line, that person's title - such as President — is inserted.
The notary certificate is the portion of the document to be notarized that contains the notary language or notary verbiage. The letters “ss" at the location of the venue section of the notary certificate actually stand for the Latin word scilicet which means in particular, to wit, or namely.
