For pdfFiller’s FAQs

Below is a list of the most common customer questions. If you can’t find an answer to your question, please don’t hesitate to reach out to us.
Typically, the only way to fight a non-compete agreement is to go to court. If you are an employee (or former employee) who signed such an agreement, this means you must violate the agreement and wait to be sued. It may be that your former employer has never sued another employee to enforce the non-compete agreement.
The majority of U.S. states recognize and enforce various forms of non-compete agreements. A few states, such as California, Montana, North Dakota, and Oklahoma, totally ban non-compete agreements for employees, or prohibit all non-compete agreements except in limited circumstances.
Voiding a non-compete contract is possible in certain circumstances. For instance, if you can prove that you never signed the contract, or if you can demonstrate that the contract is against the public interest, you may be able to void the agreement.
Typically, the only way to fight a non-compete agreement is to go to court. If you are an employee (or former employee) who signed such an agreement, this means you must violate the agreement and wait to be sued. It may be that your former employer has never sued another employee to enforce the non-compete agreement.
However, in those situations where the non-compete was properly drafted and implemented, a court could award damages against you for any actual losses suffered by your employer, or in rare cases, a court will order that you are prevented from working for the competitor for the duration of the clause.
Filing a lawsuit against a former employer who violates a non-compete and litigating that violation will ultimately lead to the court issuing a decision that concludes the agreement is valid and enforceable, and the former employee violated it.
Even though a non-compete agreement can still be enforced when you are fired, you could potentially get out of it if the employer breaches your contract. You can also get out of the agreement if the employer fired you for a reason that is not just or fair.
A non-compete agreement is a contract between an employee and employer. A non-compete prohibits an employee from engaging in a business that competes with his/her current employer's business. While an employer cannot require you to sign a non-compete, they may terminate, or choose not to hire you if you refuse to sign.
A non-compete contract does not need to be witnessed to be legally binding. All that is required is that both parties sign the document. Some contracts require notarization and/or a third party witness. Provided the terms of the non-compete are reasonable and comply with the applicable state law, it shall be binding.
Sometimes, companies feel that it is necessary to include a geographic restriction in their Non-Compete Agreement. A geographic restriction means that the employee cannot compete with their previous employer or solicit clients that were doing business with that employer within a specific area.
As a practical matter this means that in all but a very few and unusual types of situations, noncompete agreements are not enforceable in California.
Non-competes are enforceable in most courts as long as they are reasonable in scope and serve to protect the employer's business interests. A new ban on non-competes in California, however, means employees may have the power to void them.
One of the factors considered in order for a non-competition agreement to be enforceable, is whether the geographic limitation in the agreement is reasonable. There is no rule that necessarily defines a reasonable geographic limitation in terms of numbers of miles or borders, although that is certainly considered.
How often are non compete agreements enforced? The enforceability of any non-compete usually depends on what state you are in. Depending on the nature of the business relationship, most non-competes with temporal terms of less than two years will be considered reasonable.
There is no statutory or common law requirement that a non-compete agreement be notarized. To be enforceable, though, it has to be signed by the party against whom enforcement is sought.
